Founding Act and General Statutes of the Order of TEON

Signed in Guayaquil, Ecuador, on 24 July 2024, and protocolised before a notary.

The Founding Act is the originating instrument of the Order of TEON. It establishes the institution as a permanent organisation of private law with its own identity, distinctive symbols and internal rules, and states in its own words the limits of that condition: it claims no jurisdiction, no imperium and no normative supremacy over third parties.

Its twenty-one articles set out the founding authority, the principle of functional sovereignty and post-territorial governance, the mission of custody and representation of nature, the duty of legality and political neutrality, the structure of government, the regime of membership and dignities — honorific and internal, never with external legal effect — the institutional patrimony subject to independent audit, the legal instruments of cooperation, and the establishment of national chapters, called Houses, without sovereign autonomy.

Constitutive Magna Carta

Granted in Quito on 24 August 2024 and protocolised before the 79th Notary of Guayaquil on 2 September 2024.

The Magna Carta constitutes TEON as an international institution of functional government, of global public-interest law, with its own legal personality and internal normative autonomy, and without state character, territorial base or attributes of imperium.

Its nine articles define the object of the institution — the custody, technical representation and functional governance of nature — and the limits of its authority: it assumes no legislative, jurisdictional or executive powers of a general nature; the effects of its acts before third parties arise only from voluntary adherence, contract or express incorporation into valid legal frameworks; and all its acts remain subject to review for legality by the competent administrative and judicial authorities.

The memorandum sets out interinstitutional cooperation between TEON and CATA for the joint promotion of Central America as an integrated tourism destination, around nature, cultural identity and responsible development.

Its clauses cover the purpose of the alliance, the areas of collaboration, the coordination mechanisms, the financial regime, the treatment of intellectual property and the applicable law.

Institutional Charter (English text)

An architecture of legitimacy, constituted without statehood, without the exercise of imperium, and without reliance on coercion.

Authentic text in English

Preamble

The Embassy of Nature is constituted as a post-territorial institution: an architecture of legitimacy that operates without statehood, without the exercise of imperium, and without reliance on coercion. Its authority derives from technical competence, functional performance, and the voluntary adherence of those who choose to work with it.

This Charter sets out the principles that bind every office, programme, and representative of The Embassy of Nature, across all jurisdictions in which it acts.

Founding principles

  1. I

Nature is recognised as a strategic asset and a subject of legal interest, never as an externality.

  2. II

Adherence is voluntary: states, institutions, and individuals participate by conviction and agreement, not by compulsion.

  3. III

A strict separation is maintained between strategic vision and operational execution, with professional and traceable decision-making.

  4. IV

Resources are used responsibly and subject to audit, in compliance with the regulatory frameworks of every jurisdiction of operation.

  5. V

The Embassy of Nature acts in complement to national sovereignty and existing international frameworks, never in substitution of them.

Adherence to this Charter is the sole condition of belonging to the institutional community of The Embassy of Nature.

Institutional Principles — Articles I–IV

The four articles of the Charter’s second part — Legality, Political Neutrality, Transparency, and Institutional Responsibility.

Article I

Legality

In all things, The Embassy of Nature maintains full compliance with international and domestic legal frameworks across every jurisdiction in which it acts, each initiative structured within recognised legal instruments and reviewed by independent counsel, without exception and without shortcut.

Article II

Political neutrality

The Embassy of Nature holds itself independent of partisan agendas, for nature and culture transcend political cycles. It accepts no mandate that subordinates ecological stewardship to electoral calendars, and engages every government upon equal and non-partisan terms.

Article III

Transparency

Governance is conducted in the open. Audited statements, governance charters, and verifiable impact indicators are published and renewed each year: accountability the public may read, and need not merely trust.

Article IV

Institutional responsibility

The Embassy of Nature holds itself answerable to its stakeholders, its partner nations, and the communities it is charged to steward, treating that trust as the first and most carefully kept asset of the institution.

Principles of Cooperation

The Embassy of Nature operates under seven institutional guarantees that govern every programme, alliance, and representation it undertakes. They bind the institution in every jurisdiction in which it acts, and stand as its commitment to the nations, institutions, and communities with which it works.

  1. 01

    Respect for sovereignty

TEON works alongside nations and in full respect of their sovereignty, laws, institutions, and constitutional order.

  2. 02

    Voluntary cooperation

All collaborations are voluntary and based on dialogue with public, private, academic, cultural, and community actors.

  3. 03

    Legal compliance

All initiatives are developed through appropriate legal, regulatory, and institutional channels.

  4. 04

    No public financial offering

TEON does not offer financial products to the public through its website.

  5. 05

    Complementarity

TEON does not replace governments, international organisations, communities, or existing legal frameworks. It complements them through representation, culture, diplomacy, and institutional innovation.

  6. 06

    Local context

Every initiative must respect the ecological, cultural, social, and legal reality of the place where it is developed.

  7. 07

    Nature as dignity and value

TEON believes nature must be recognised not only as beauty or resource, but as a subject of rights, dignity, and long-term value.

TEON does not offer financial products to the public through this website. Any economic, investment-related, or institutional initiative is developed through appropriate legal, regulatory, and partnership frameworks.
